Thoma Cressey

Software & Technology

Thoma Bravo is one of the most active and successful private equity firms in the software industry. Thoma Bravo's current portfolio of software companies has aggregate revenues and profits of approximately $2.0 billion and $500 million, respectively. We have a record of investing in and helping to build software companies that are the leaders in their respective markets. In application software, our companies are leaders in vertical markets such as distribution, higher education, retail, manufacturing and consumer goods. In infrastructure software, our companies include leaders in database tools, high availability, and host access.

During the past five years, Thoma Bravo has closed more than 30 software acquisitions with an aggregate value in excess of $3 billion. These transactions represent 10 software platform companies and more than 20 add-on acquisitions. We are experienced in executing all types of software transactions, including LBO’s and recapitalizations of private companies, take-privates, divisional spinouts and direct investments in public companies. In particular, Thoma Bravo is one of the leading private equity firms in software take-private transactions. In the past two years, we have worked closely with the boards of directors of seven publicly held software companies to complete take-private transactions that both rewarded public shareholders and put the companies and their management teams in position to achieve substantial future growth.

Our strategy in the software industry is centered on the Thoma Bravo “buy and build” approach. We look to partner with management teams that have the vision to be leading consolidators in their industries and with companies that have the size and scale to be strong platform companies. Each of our software portfolio companies operates independently, and their management teams work in close partnership with Thoma Bravo to enhance organic growth and implement consolidation acquisition plans. This strategy consistently has produced rapid growth and created substantial equity value. Examples include Prophet 21, Inc. (tripled revenues in a three year period), Consona Corporation (quadrupled revenues and earnings in a 12 month period), and Vision Solutions, Inc. (achieved a fivefold increase in earnings in a 12 month period).

We focus on opportunities to invest in companies with revenues in excess of $50 million where we can partner with existing management to execute our buy and build strategy. We look for platform companies that have predictable revenues and that offer their customers mission critical products.
